Our governance statement
KRAKEN ACADEMY INC. is a Florida not-for-profit corporation being organized to operate as a Section 501(c)(3) charitable and educational organization. The Board of Directors holds ultimate fiduciary authority over mission, strategy, finances, legal compliance, executive oversight, safeguarding, risk, and long-term sustainability.
Structure and controls
- Five-person Board with one vote per director.
- Formal Bylaws and Conflict of Interest Policy.
- Board-approved budgets and financial controls.
- Policies for safeguarding, background screening, participant safety, and risk management as programs launch.
- Restricted grants and donations tracked and used for their designated charitable purpose.
- Reasonable-compensation and related-party decisions subject to conflict disclosure, recusal, and independent Board review.
